Terms of Service

These Terms of Service ("Terms") govern your use of Wrasse Inc.'s services at wrasse.ai (the "Service"). By creating an account or otherwise using the Service, you agree to these Terms. If you are agreeing on behalf of an organisation, you represent that you are authorised to bind it, and "you" means that organisation.

1. Account

You must be at least 18 years old and able to enter into a binding contract to use the Service. You are responsible for keeping your account credentials secure, for all activity on your account, and for the conduct of any agents you provision on the Service. Tell us promptly at security@wrasse.ai if you believe your account has been accessed without your authorisation.

Where your organisation has an administrator, that administrator may manage your access, see your subscription and billing state, and remove you from the organisation. What an administrator can and cannot see is described in the Privacy Policy.

2. The Service

Wrasse provides a hosted, audited runtime for personal AI agents. The Service includes the runtime, the policy and audit infrastructure, the skill catalog, and the bundles you have subscribed to. We may add, modify, or discontinue features. We provide reasonable notice for material changes, and at least 30 days' notice before removing a feature you rely on or materially reducing the Service.

Agents act on your instruction. When you authorise your agent to use a connected account or to send a message, it does so as you. You remain responsible for what your agent does on your behalf, which is why every action is recorded, reviewable and reversible from your audit log.

3. Your content

You retain ownership of all content you provide to the Service and all content your agent produces on your behalf. You grant us a limited, non-exclusive licence to host, process and transmit that content solely as necessary to operate the Service for you. That licence ends when the content is deleted. We do not use your content to train AI models or for any purpose outside of serving your agent.

You are responsible for having the rights to the content you give the Service, including any personal data about other people that you ask your agent to handle.

4. Acceptable use

You may not use the Service to:

  • Violate any applicable law or regulation.
  • Infringe intellectual property rights.
  • Send unsolicited bulk messages, spam, or commercial communications without consent.
  • Harass, threaten, defame, or harm any individual or group.
  • Generate or distribute illegal content, including content sexually exploiting minors.
  • Attempt to access another user's account, container, or data.
  • Reverse-engineer the Service, except where this restriction is prohibited by law.
  • Use the Service to develop a competing product.
  • Bypass policy enforcement, rate limits, or other security controls.
  • Resell or provide the Service to a third party as a service of your own, except under a written agreement with us.

We reserve the right to suspend or terminate accounts that violate these Terms. Where practicable we will tell you first and give you a chance to put it right; where a violation risks harm to others, to the Service, or involves illegal content, we may suspend immediately, and we may report to appropriate authorities as required by law.

5. Messaging

Connecting a phone number to your account is optional. When you connect one, you consent to receive text messages from Wrasse at that number: replies from your assistant, and reminders you have asked it to set. Message frequency varies and depends on your own use.

Message and data rates may apply. Reply STOP at any time to disconnect the number; reply HELP for assistance, or see the SMS help page. Wrasse does not send marketing or promotional messages by text. You confirm that the number you connect is one you are authorised to use, and that you will disconnect it before giving it up.

6. Billing and cancellation

Subscriptions are billed monthly or annually as selected, in advance, and renew automatically until cancelled. Founding cohort pricing is locked in for the lifetime of an active subscription. Fees are exclusive of taxes, which we add where required.

Cancellations are effective at the end of the current billing period. We do not provide partial refunds for unused time within a billing period, but we will consider exceptions case-by-case. We may change prices with at least 30 days' notice before your next renewal; if you do not accept a change, you may cancel before it takes effect.

You can cancel at any time from your dashboard or by writing to support@wrasse.ai. Your data is retained for 30 days after cancellation, then deleted unless you reactivate. If a payment fails we may suspend the Service after notifying you and allowing a reasonable period to fix it.

7. Intellectual property

The Service, including the runtime, the dashboard, the skill catalog, the bundle manifests, and all related software and documentation, is owned by Wrasse Inc. or its licensors. The "Wrasse" name and logo are trademarks of Wrasse Inc. Nothing in these Terms transfers any of our intellectual property to you.

If you send us feedback or suggestions, we may use them without obligation to you. This does not give us any right to your content.

8. Third-party services

The Service integrates with third-party services — your CRM, your messaging provider, your calendar, your MLS. Your use of those services is governed by their own terms, and you are responsible for having the right to connect them. We are not responsible for the availability, performance, accuracy, or terms of any third-party service, and a third party changing or withdrawing its interface may change what your agent can do.

9. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by applicable law, we disclaim all warranties, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or that it will meet your specific requirements. The output of AI models is non-deterministic and may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing your agent's drafts and proposed actions before sending or acting on them. The Service is not a substitute for professional advice — legal, financial, medical, or otherwise — and must not be relied on as such.

Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.

10. Limitation of liability

To the maximum extent permitted by applicable law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, or data, however caused and on any theory of liability, even if advised of the possibility.

To the maximum extent permitted by applicable law, Wrasse Inc.'s total aggregate liability for all claims arising out of or related to the Service is limited to the greater of (a) the amount you paid us in the twelve months preceding the event giving rise to the claim, or (b) one hundred US dollars.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or — where applicable law so provides — for gross negligence or wilful misconduct. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

11. Indemnification

You agree to defend, indemnify and hold harmless Wrasse Inc. and its officers, directors, employees and agents from and against any third-party claim, and any resulting loss, liability, damage, cost or expense (including reasonable legal fees), arising out of your content, your use of the Service in violation of these Terms or applicable law, or your violation of the rights of a third party.

We will notify you promptly of any such claim, give you control of the defence — provided any settlement that admits fault or imposes an obligation on us needs our written consent — and cooperate reasonably at your expense.

12. Term, suspension and termination

These Terms apply for as long as you use the Service. You may stop at any time by cancelling and closing your account. We may suspend or terminate your access for a material breach of these Terms that you have not cured within 14 days of notice, or immediately where §4 permits.

On termination, your right to use the Service ends and the retention and deletion rules in the Privacy Policy apply. Sections 3, 7, 9, 10, 11, 13 and 14 survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, and the United Nations Convention on Contracts for the International Sale of Goods does not apply.

Talk to us first. Before starting a formal proceeding, please write to hello@wrasse.ai describing the dispute; we will do the same. Most things are resolved this way, and we will try in good faith for 30 days.

If that does not resolve it, disputes will be settled by binding arbitration administered in San Francisco, California, on an individual basis. You and Wrasse each waive any right to a jury trial and to participate in a class or representative action. Either party may still bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect intellectual property or confidential information. If the class-action waiver is held unenforceable, the arbitration provision does not apply to that claim.

Nothing here deprives you of the protection of mandatory consumer-law rights, or of the right to bring proceedings in the courts of your country of residence, where the law of that country gives you that right.

14. General

  • Entire agreement. These Terms, with the Privacy Policy and any order form or written agreement between us, are the whole agreement and supersede prior discussions.
  • Severability. If a provision is unenforceable, it is modified to the minimum extent necessary and the rest stays in force.
  • No waiver. Not enforcing a provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for failure to perform caused by events beyond its reasonable control.
  • Notices. We give notice by email to your account address or in the dashboard. You give notice to hello@wrasse.ai.
  • No third-party beneficiaries. These Terms create no rights for anyone other than you and Wrasse Inc.

15. Changes to these Terms

We may update these Terms. Material changes will be communicated by email at least 30 days before they take effect, and the "Last updated" date above will change. Continued use of the Service after the effective date constitutes acceptance. If you do not accept a change, you may cancel before it takes effect.
